Terms of Service

These Terms of Service (“Terms”) govern your access to and use of UTS Logistics Terminal (“the Service”), operated by Under the Sun Logistics (“we,” “us,” or “our”), accessible at app.utslogistics.net.
By creating an account, accessing, or using the Service in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms in their entirety, you must immediately cease all use of the Service.
1. Description of Service
UTS Logistics Terminal is a web-based trucking dispatch and load management platform. The Service provides tools for managing drivers, tracking loads, recording revenue and expenses, managing documents, and generating performance analytics for commercial trucking operations.
The Service is a record-keeping and organizational tool only. It does not provide financial advice, legal advice, tax guidance, routing services, compliance management, or regulatory filings. Any data, calculations, summaries, or reports generated by the Service are for informational and organizational purposes only and should not be relied upon as the sole basis for any business, financial, legal, or operational decision.
2. Eligibility
You must be at least 18 years old and capable of entering into a legally binding agreement to use the Service. By using the Service, you represent and warrant that you meet these requirements and that all information you provide is accurate and complete.
3. Account Registration and Security
To access the Service, you must sign in using Google Authentication or use the Service in local-only mode. You are solely responsible for:
- Maintaining the confidentiality and security of your account credentials.
- All activity that occurs under your account, whether or not authorized by you.
- Ensuring that only authorized personnel access your account.
You agree to notify us immediately at support@utslogistics.net of any unauthorized access to or use of your account. We are not liable for any loss or damage arising from your failure to maintain the security of your account.
4. Subscription Plans and Billing
4.1 Plans
The Service is offered under multiple subscription tiers: Free, Solo, Growth, and Pro. Features and limitations vary by plan. Current plan details and pricing are available at utslogistics.net. We reserve the right to modify, add, or remove features from any plan at any time.
4.2 Payment Processing
All payments are processed by Paddle.com Market Limited (“Paddle”), who acts as the Merchant of Record for all transactions. When you subscribe to a paid plan, your billing relationship is with Paddle, not directly with us. Paddle’s terms of service and privacy policy also apply to your purchase. All billing disputes, chargebacks, and payment-related inquiries must first be directed to Paddle.
4.3 Billing Cycle
Paid subscriptions are billed on a recurring monthly or annual basis, depending on the plan selected. Your subscription will automatically renew at the end of each billing period unless cancelled. It is your responsibility to cancel before the renewal date if you do not wish to be charged for the next period.
4.4 Cancellation
You may cancel your subscription at any time through your account settings or by contacting us at support@utslogistics.net. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until the end of your paid period. No partial refunds are issued for unused time within a billing period.
4.5 Refunds
Refund requests made within 14 days of initial purchase or renewal may be considered on a case-by-case basis. All refund requests must be submitted to support@utslogistics.net. Refund processing is handled by Paddle in accordance with their refund policies and applicable consumer protection laws. We are under no obligation to issue refunds beyond what is required by applicable law.
4.6 Price Changes
We reserve the right to change subscription prices at any time. Existing subscribers will be notified at least 30 days before any price increase takes effect. Continued use of the Service after a price change constitutes acceptance of the new pricing. If you do not agree to a price change, your sole remedy is to cancel your subscription before the new price takes effect.
5. Acceptable Use
You agree to use the Service only for its intended purpose of managing trucking dispatch and logistics operations. You agree not to:
- Use the Service for any illegal activity or to facilitate illegal transportation of goods.
- Enter false, misleading, or fraudulent data into the Service.
- Attempt to gain unauthorized access to the Service, other user accounts, or our systems.
- Interfere with or disrupt the Service or servers connected to the Service.
- Reverse engineer, decompile, disassemble, or create derivative works based on any part of the Service.
- Use automated tools to scrape, crawl, or extract data from the Service.
- Resell, sublicense, lease, or provide the Service to third parties without our prior written consent.
- Upload malicious content, viruses, or harmful code.
- Use the Service in any manner that could damage, disable, overburden, or impair our infrastructure.
Violation of this section may result in immediate suspension or termination of your account without notice or refund.
6. Your Data
6.1 Ownership
You retain ownership of all data you enter into the Service, including but not limited to load records, driver information, revenue data, and uploaded documents. We do not claim ownership of your data.
6.2 License to Us
By using the Service, you grant us a limited, non-exclusive, worldwide, royalty-free license to store, process, transmit, and display your data solely for the purpose of providing, maintaining, and improving the Service. This includes processing documents through our AI extraction features and transmitting data to third-party service providers as described in our Privacy Policy.
6.3 Your Responsibilities
You are solely responsible for:
- The accuracy, legality, and completeness of all data you enter into the Service.
- Maintaining your own independent backups of critical business data.
- Ensuring that your use of the Service complies with all applicable laws, regulations, and industry requirements, including but not limited to FMCSA regulations, DOT requirements, and tax reporting obligations.
- Reviewing and verifying all data extracted by AI-powered features before relying on it.
6.4 Data Portability
You may export your data at any time using the Service’s built-in copy and export features.
6.5 Data Deletion
Upon account deletion or written request to privacy@utslogistics.net, we will delete your data from our active systems within 30 days. Backup copies may persist for up to 90 days before automatic deletion. We are not responsible for data that has already been exported or copied by you or authorized users of your account.
7. AI-Powered Features
The Service includes AI-powered document extraction (“Magic Fill”) that uses Google’s Gemini API to process uploaded rate confirmations and other logistics documents. By using this feature, you expressly acknowledge and agree that:
- AI extraction is not guaranteed to be accurate. Results may contain errors, omissions, misinterpretations, or inaccuracies. You are solely responsible for reviewing, verifying, and correcting all extracted data before using it for any purpose.
- We are not liable for any errors in AI-extracted data, including but not limited to incorrect revenue amounts, wrong addresses, misidentified brokers, incorrect dates, or inaccurate mileage calculations, regardless of whether you reviewed the extracted data.
- You consent to your uploaded documents being transmitted to Google’s Gemini API for processing. Document content is processed in real-time and is not stored by the AI service beyond the processing session, in accordance with Google’s API terms.
- You represent and warrant that you have the right to upload and process any documents submitted to the AI extraction feature and that doing so does not violate any confidentiality agreement or third-party rights.
- AI features may be modified, degraded, or discontinued at any time without notice due to changes in third-party API availability, pricing, or terms.
8. Intellectual Property
The Service, including but not limited to its source code, design, user interface, features, graphics, logos, and documentation, is the exclusive property of Under the Sun Logistics and is protected by applicable intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose during your active subscription period. This license does not include any right to modify, copy, distribute, or create derivative works based on the Service.
9. Service Availability and Modifications
We strive to maintain reasonable availability of the Service but make no guarantee of uptime, availability, or uninterrupted access. The Service may be temporarily or permanently unavailable due to:
- Scheduled or unscheduled maintenance and updates.
- Third-party service outages (including but not limited to Google Firebase, Google Gemini API, Vercel, and Paddle).
- Network failures, hardware failures, or other technical issues.
- Force majeure events including natural disasters, pandemics, wars, government actions, or other circumstances beyond our reasonable control.
We reserve the right to modify, update, or discontinue any feature or the entire Service at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Service.
10. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
- WE EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND AVAILABILITY.
- WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, UNINTERRUPTED, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
- WE DO NOT WARRANT THAT ANY DATA, CALCULATIONS, REPORTS, OR AI-GENERATED CONTENT PROVIDED THROUGH THE SERVICE WILL BE ACCURATE, COMPLETE, OR RELIABLE.
- WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS OR EXPECTATIONS.
- NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM US OR THROUGH THE SERVICE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- WE ARE NOT LIABLE for any decisions you make based on data displayed in, generated by, or derived from the Service, including but not limited to financial decisions, operational decisions, routing decisions, hiring decisions, compliance decisions, or tax filings.
- WE ARE NOT LIABLE for any losses, damages, or claims arising from inaccurate data entry by you, errors in AI-extracted data, data loss, service interruptions, unauthorized access to your account, or any third-party actions.
- IN NO EVENT shall Under the Sun Logistics, its owners, operators, employees, agents, or affiliates be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, loss of revenue, loss of data, loss of business opportunities, loss of goodwill, or cost of procurement of substitute services, regardless of the cause of action or the theory of liability, even if we have been advised of the possibility of such damages.
- OUR TOTAL AGGREGATE LIABILITY to you for all claims arising from or related to the Service or these Terms shall not exceed the lesser of: (a) the total amount you paid to us in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) fifty United States dollars (USD $50.00).
- The foregoing limitations apply regardless of whether the alleged liability is based on contract, tort (including negligence), strict liability, or any other legal theory.
12. Indemnification
You agree to defend, indemnify, and hold harmless Under the Sun Logistics, its owners, operators, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to reasonable attorneys’ fees and legal costs) arising from or related to:
- Your use of or inability to use the Service.
- Your violation of these Terms.
- Your violation of any applicable law, regulation, or third-party rights.
- Any data or content you submit, enter, or upload to the Service.
- Any dispute between you and a third party (including brokers, shippers, carriers, drivers, or government agencies) that relates to your use of the Service.
- Any claim that your use of the Service caused damage to a third party.
This indemnification obligation shall survive the termination of your account and these Terms.
13. Dispute Resolution
13.1 Informal Resolution
Before filing any formal legal action, you agree to first contact us at support@utslogistics.net and attempt to resolve the dispute informally for at least thirty (30) days.
13.2 Governing Law
These Terms are governed by and construed in accordance with the laws of the Republic of Serbia, without regard to its conflict of law provisions.
13.3 Jurisdiction
Any disputes arising under or in connection with these Terms that cannot be resolved informally shall be subject to the exclusive jurisdiction of the competent courts of the Republic of Serbia. You irrevocably consent to the personal jurisdiction and venue of such courts.
13.4 Class Action Waiver
TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT ANY CLAIMS AGAINST US MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
14. Termination
14.1 Termination by You
You may terminate your account at any time by cancelling your subscription and requesting account deletion at support@utslogistics.net.
14.2 Termination by Us
We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice, and without liability to you. Grounds for termination include but are not limited to: violation of these Terms, suspected fraudulent activity, non-payment, extended inactivity, or conduct that we reasonably believe may harm us, other users, or third parties.
14.3 Effect of Termination
Upon termination, your right to use the Service ceases immediately. We are not obligated to retain your data after termination, though we will honor data deletion requests as described in Section 6.5. Sections 6, 7, 8, 10, 11, 12, 13, and this Section 14 survive termination of these Terms.
15. Third-Party Services and Links
The Service relies on and may contain links to third-party services including Google Firebase, Google Gemini API, Paddle, and Vercel. We do not control, endorse, or assume responsibility for any third-party services, their content, privacy policies, or practices. Your use of third-party services is at your own risk and subject to their respective terms and conditions. We are not liable for any damages or losses caused by or in connection with your use of any third-party service.
16. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through the Service at least fifteen (15) days before the changes take effect. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, your sole remedy is to stop using the Service and cancel your account.
17. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
18. Entire Agreement
These Terms, together with our Privacy Policy and Cookie & Storage Policy, constitute the entire agreement between you and Under the Sun Logistics regarding your use of the Service.
19. No Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
20. Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
