Terms of Service

1. Agreement & Parties

These Terms of Service (“Terms”) govern your use of the UTS Logistics Terminal web application located at app.utslogistics.net (the “Service”), operated by Under the Sun Logistics, under BSharp (“we,” “us,” “our,” “the Company”), a business registered in the Republic of Serbia.

By creating an account or using the Service, you agree to be bound by these Terms in their entirety. If you do not agree, do not use the Service. Your continued use of the Service following any posted changes constitutes acceptance of those changes.

2. Account & Authentication

The Service uses Google Sign-In via Firebase Authentication. When you sign in, we receive your Google display name and email address. We do not receive, store, or have access to your Google password.

Your account is identified by a unique Firebase User ID (UID). You are responsible for maintaining the security of the Google account used to sign in. You must notify us immediately at support@utslogistics.net if you believe your account has been compromised.

We do not support password-based login. All authentication is delegated to Google’s identity infrastructure. There are no passwords, PINs, or passcodes stored in our system.

We reserve the right to refuse service, terminate accounts, or restrict access in our sole discretion, with or without cause, at any time.

3. How Your Data Is Stored

All data you enter into the Service — including driver information, weekly settlement records, dispatch logs, company details, and folder structures — is saved as a single encrypted-in-transit JSON document in Google Cloud Firestore, stored under your unique Firebase User ID at the path users/{your-UID}.

  • Isolation: Your data document is completely separate from every other user’s data. No user can read, write, or access another user’s Firestore document through the application.
  • Uploaded Files: Documents you upload (rate confirmations, BOLs, images, PDFs) are stored in Firebase Storage at users/{your-UID}/docs/{document-ID}. These files are accessible only through your authenticated session.
  • Autosave: Your data is automatically saved approximately every 2 seconds when changes are detected. No manual save action is required.
  • Local Backup: A copy of your data (excluding uploaded file binaries) is stored in your browser’s localStorage as a fallback.
  • Optional Desktop Sync: If you enable local folder sync, a copy of your data is written to a folder you choose on your device using the File System Access API.

We do not guarantee the preservation of your data. While we use commercially reasonable infrastructure (Google Cloud / Firebase), you are solely responsible for maintaining your own backups of critical business data.

4. Data Access & Privacy Commitment

We are committed to the following data access principles:

  • Your dispatch data is yours. We do not access, review, analyze, sell, or share your operational data (drivers, loads, settlements, documents) for any purpose including marketing, analytics, or business intelligence.
  • Administrative access is limited to account management. Our administrative systems only access your subscription status, plan tier, and account email for the purpose of managing your subscription and providing support. We do not access your users/{UID} data document through administrative tools.
  • Infrastructure-level access exists but is not exercised. As the operator of the Firebase project, we have the technical ability to access any data stored in Firestore and Firebase Storage through the Firebase Console or Admin SDK. This is inherent to all cloud-hosted services (including Google, Microsoft, Amazon, and every SaaS product). We commit to not exercising this access except when: (a) required by law or valid legal process; (b) necessary to investigate a credible security incident affecting your account; or (c) you specifically request data recovery assistance.
  • No cross-user data exposure. Firestore Security Rules enforce that client-side requests can only read and write data within the authenticated user’s own UID path. One user cannot access another user’s data through the application.

5. AI-Powered Features — No Warranty

The Service includes an AI document extraction feature (“Magic Fill”) powered by Google’s Gemini API.

  • When you use Magic Fill, the image or PDF you uploaded is sent to Google’s Gemini API for text extraction. The extracted data is stored as part of your log entry within your Firestore document.
  • The uploaded image is not stored separately by the Gemini API. Google’s API terms govern their processing of the data during extraction.
  • AI extraction may produce errors including but not limited to: incorrect dollar amounts, wrong addresses, misread dates, incorrect mileage, incorrect broker or carrier names, and missing or fabricated data fields.

WE MAKE NO WARRANTY WHATSOEVER REGARDING THE ACCURACY, COMPLETENESS, OR RELIABILITY OF AI-EXTRACTED DATA. You are solely responsible for reviewing and verifying all AI-populated data before relying on it for any business, financial, legal, regulatory, or tax purpose. The Company shall not be liable for any loss, damage, or claim arising from errors in AI-extracted data, regardless of the nature or magnitude of such errors.

6. Subscription Plans & Payments

The Service offers tiered subscription plans: Free, Solo, Growth, and Pro. Feature availability varies by plan. Current pricing and feature details are available at utslogistics.net.

  • Payments are processed by Paddle.com, who acts as the Merchant of Record for all transactions. Your payment information (credit card, billing address) is collected and stored by Paddle, not by us. We never see or store your payment card details.
  • Subscriptions renew monthly unless canceled. You may cancel at any time through your Paddle subscription management link or by contacting support@utslogistics.net.
  • If your subscription lapses or is downgraded, your data is never deleted. Access to certain features will be restricted based on your current plan tier, but all previously entered data remains in your account.
  • Refunds are handled in accordance with Paddle’s refund policy. We may, at our sole discretion, offer refunds on a case-by-case basis.
  • We reserve the right to modify pricing with 30 days advance notice to existing subscribers.

7. Your Responsibilities

  • You must provide accurate information when using the Service.
  • You are solely responsible for the legality, accuracy, and completeness of the data you enter, including driver information, load details, financial records, and regulatory filings.
  • You must not attempt to access other users’ data, reverse-engineer the Service, interfere with its operation, or use it for any unlawful purpose.
  • You are responsible for maintaining compliance with all applicable transportation regulations, FMCSA requirements, tax obligations, and employment laws in your jurisdiction.
  • The Service is a dispatch management tool, not a compliance, accounting, legal, or tax advisory platform. You must not rely on the Service as a substitute for professional advice.
  • You must not use the Service to transmit malicious code, harvest other users’ information, or engage in any activity that could damage, disable, or impair the Service.

8. Data Retention & Deletion

  • Your data remains stored for as long as your account exists, regardless of subscription status.
  • To request complete deletion of your account and all associated data (Firestore document, uploaded files in Firebase Storage, and subscription profile), email privacy@utslogistics.net. We will process verified deletion requests within 30 days.
  • Backup copies in Firebase/Google Cloud infrastructure may persist for up to 180 days after deletion as part of Google’s standard data lifecycle.
  • We may retain anonymized, aggregated usage statistics that cannot be linked back to individual accounts.

9. Intellectual Property

The Service, including its design, code, logos, and documentation, is the property of Under the Sun Logistics and is protected by applicable intellectual property laws. You may not copy, modify, distribute, reverse-engineer, or create derivative works from the Service without prior written consent.

You retain full ownership of all data you enter into the Service. We claim no ownership rights over your dispatch data, uploaded documents, or any content you create within the Service.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. We specifically disclaim all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Without limiting the foregoing, we do not warrant that:

  • The Service will be uninterrupted, timely, secure, or error-free;
  • The results obtained from the Service (including AI-extracted data) will be accurate, reliable, or complete;
  • The Service will meet your specific business requirements;
  • Any errors in the Service will be corrected;
  • The Service will be compatible with any specific hardware, software, or network configuration.

You expressly acknowledge and agree that use of the Service is at your sole risk.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY:

  • Indirect, incidental, special, consequential, or punitive damages;
  • Loss of profits, revenue, data, business opportunities, or goodwill;
  • Cost of procurement of substitute services;
  • Damages resulting from errors in AI-extracted data;
  • Damages arising from unauthorized access to or alteration of your data;
  • Damages arising from service interruptions, outages, or data loss;
  • Any other damages arising out of or in connection with your use of the Service;

regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise), even if the Company has been advised of the possibility of such damages.

Our total cumulative liability for all claims arising from or related to the Service shall not exceed the lesser of: (a) the total amount you paid to us in the twelve (12) months immediately preceding the claim, or (b) fifty United States dollars (USD $50.00).

12. Indemnification

You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from or related to:

  • Your use or misuse of the Service;
  • Your violation of these Terms;
  • Your violation of any applicable law, regulation, or third-party rights;
  • Any dispute between you and any third party (including but not limited to brokers, shippers, carriers, drivers, regulatory agencies, or tax authorities) that relates to or involves data entered into, stored in, or generated by the Service;
  • Any claim that data you entered into the Service infringes the rights of a third party;
  • Your reliance on AI-extracted data without independent verification.

This indemnification obligation survives the termination of your account and these Terms.

13. Dispute Resolution

Mandatory Informal Resolution: Before initiating any legal proceeding, you agree to first contact us at support@utslogistics.net and attempt to resolve the dispute informally for at least thirty (30) days. Most disputes can be resolved through good-faith communication.

Governing Law: These Terms are governed by and construed in accordance with the laws of the Republic of Serbia, without regard to conflict of law principles.

Jurisdiction: If a dispute cannot be resolved informally, it shall be submitted to the exclusive jurisdiction of the competent courts of the Republic of Serbia.

Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not as part of a class, consolidated, or representative action. You waive any right to participate in a class action or class-wide arbitration against the Company.

14. Service Availability & Changes

We strive for continuous availability but do not guarantee uninterrupted service. We may modify, suspend, or discontinue any feature of the Service at any time, with or without notice.

Material changes to these Terms will be communicated via the email associated with your account at least 14 days before taking effect. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

15. Third-Party Services

The Service relies on third-party infrastructure and services including Google/Firebase (authentication, database, storage), Google Gemini API (AI extraction), Paddle (payments), and Vercel (hosting). We are not responsible for the availability, performance, or policies of these third-party services. Your use of the Service is also subject to the terms and privacy policies of these providers.
